2. Services Agreement & Scope of Work

  • Engagement: These terms and conditions apply to all services provided by [Rhode to Digital] to you, the client, as outlined in a separate, specific proposal or service agreement (“Project Proposal”). The Project Proposal will detail the specific scope of work, deliverables, and any project-specific terms.
  • Acceptance: Your acceptance of our Project Proposal, either verbally or in writing, constitutes your agreement to these Terms and Conditions. Our professional relationship will formally begin upon the agreement and signing of the Project Proposal, which will include specific deliverables and a defined timeline for completion.

3. Consultation & Pricing

  • Free Initial Consultation: We offer a complimentary initial consultation to discuss your project requirements and determine how our services can meet your needs. This consultation is provided at no charge and does not obligate either party to proceed with a project.
  • Quoted Price: Following a successful consultation, we will provide you with a detailed Project Proposal outlining the scope of services and the total price for the finalized package of services. All prices are quoted in [Currency, e.g., GBP] and are exclusive of applicable taxes unless otherwise stated.

4. Payment Structure

  • Advance Payment: To commence work on your project, an advance payment of fifty percent (50%) of the total quoted price of the finalised package of services is required. Work will not begin until this advance payment has been received and cleared.
  • Final Payment: The remaining fifty percent (50%) of the total quoted price is due and payable upon the successful completion of the agreed-upon services and prior to the website’s final launch or handover. “Successful completion” will be defined by the deliverables outlined in your Project Proposal.
  • Late Payment: Please note that if final payment is not received and cleared on time, your website will not be launched or go live until such payment has been fully processed and cleared. Delays in payment will directly impact your project launch date.

5. Client Responsibilities

  • You agree to provide all necessary content, images, feedback, and approvals in a timely manner to facilitate the smooth progression of the project. Delays in providing required materials or feedback may impact project timelines.

6. Ownership & Intellectual Property

  • Upon successful completion of the project and receipt of final payment, ownership of the intellectual property specific to your website design and code created by Rhode to Digital for your project (excluding any third-party licenses for themes, plugins, stock assets, etc.) will transfer to you.
  • We reserve the right to display the completed project in our portfolio for promotional purposes, unless otherwise agreed in writing.

7. Refund Policy and Consequences

  • Refunds: Refunds for services provided by Rhode to Digital will be processed strictly in accordance with the terms of our Project Proposal and applicable consumer protection laws. Refunds will typically only be considered in cases where services cannot be completed as agreed or where there is a material breach of this agreement by Rhode to Digital.
  • Consequences of Refund: In the event that a refund is issued, whether partial or full, and regardless of the reason for the refund, the following actions will be taken:
    • Loss of Website Rights: You will immediately forfeit all rights to the website developed by [Rhode to Digital] for your project.
    • Removal of Admin Access: All administrator access provided to you or your representatives for the website (WordPress dashboard, hosting control panel, etc.) will be immediately revoked.
    • Site Removal from Hosting: Your website will be promptly removed from [Rhode to Digital]’s hosting service. It is your sole responsibility to secure any desired content or data prior to a refund being processed if you wish to retain it, as [Rhode to Digital] will not be liable for data loss following site removal.
    • Any third-party licenses (e.g., Elementor Pro, premium themes/plugins) provided by [Rhode to Digital] as part of the service package will be deactivated or withdrawn, as their continued use is contingent upon the full payment and successful completion of the project.
